Our senior professionals are all accredited in valuation by the American Society of Appraisers, and have experience working with ESOP trustees and legal counsel. Our firm has the capability and resources to complete both basic and complex ESOP valuation assignments, large and small.

Our role with respect to our ESOP practice is divided between two broadly-based service lines: Sell-Side and Buy-Side Advisory.

Sell-Side Advisory
Our role in our sell-side advisory practice is to conduct feasibility studies, structure, negotiate, raise capital, quarterback, and close the ESOP transaction that provides value-added results for all parties to the transaction: the selling shareholders, management and the employees of the company.

Buy-Side Advisory
Our role in our buy-side advisory service is to advise the ESOP trustee with candid, honest and independent corporate finance advice. Our buy-side practice includes fairness opinions, annual ESOP update valuations and other financial advisory services to ESOP trustees.

ESOP Advisory Relevant Experience

Examples of our litigation support engagements include:

  • Valued the common stock of a civil and environmental consulting engineering firm in connection with the initial purchase of a controlling interest by the company’s ESOP
  • Valued the common stock of a government software provider in connection with the initial purchase of a controlling interest by the company’s ESOP plan and subsequent annual valuations for ERISA and DOL compliance purposes
  • Acted as the financial advisor to the Trustee who sold $100 million of ESOP stock to a strategic buyer.
  • Acted as the financial advisor to the Trustee who purchased $50 million of stock in a construction company on behalf of the ESOP.
  • Acted as the financial advisor to the Trustee who recapitalized and releveraged a healthcare company and its ESOP.
  • Successfully defended the ESOP Trustee and the Parties in Interest against the DOL accusations that the ESOP overpaid for securities in a manufacturing company.
  • Successfully defended the ESOP Trustee and the Parties in Interest against the DOL accusations that the ESOP overpaid for securities in a business services company.
  • Acted as the financial advisor to the ESOP Trustee who purchased securities on behalf of the ESOP in a defense contracting firm.
